LETTER TO FADZLUR RAHMAN EBRAHEEM

Dear Sirs,
SABOTAGE CARRIED ON BY YOU ON SALE OF MARINARA

I refer to the Agreement dated 27 January 2011 between myself and Danaharta Hartanah Sdn Bhd which has expired on 31st March 2011.
Prior to that there was an earlier the first Agreement dated 7th July 2010 which gave me only three weeks to sell the building and repay the loan. Impossible as it may seem, I did secure a buyer, Tabung Haji . The Minister, the Managing Director and another Board Member was present when the Minister agreed to purchase the building at RM300 million. Even though the market value  was RM360 million , I agreed to the sale at RM300 million due to the constraint of time. Unfortunately after that, Tabung Haji communicated with you and you informed them that the property is registered in the name of Danaharta Hartanah Sdn Bhd and there was no need to purchase the building from me but to wait and go direct to you as you can give the building to them at RM250 million. Tabung Haji’s letter dated  12th July 2010 is clear evidence. Thus due to your interference the sale was aborted by Tabung Haji.

Despite that, as the Ministry of Finance gave me extension of time, I still kept on trying  to procure buyers for the building. As you have fixed a tight procedure to visit the building including to submit the names of the buyers, you planted your ‘agents’ to sabotage any deals and informed the buyers not to purchase the building from me but direct from you as you can sell the building to them at RM200 million. This was clearly evidenced when you held a Hari Raya Open House in Sept 2010 at the MARINARA BUILDING ( now renamed MENARA 238 by you). You invited about 300 guests where you held yourself out as the owner and openly offered the building to the visitors for RM200 million and /or to rent out the whole building. You have breached the terms of the Agreement with me when you held yourself out as the owner and completely disregarded the fact that that I was the beneficial owner and there was a valid Agreement between us.

Under your instructions, Prokhas illegally put up very big banners and posters to rent out the building whilst I was prevented from putting up posters. In the second Agreement I agreed for Danaharta Hartanah Sdn Bhd to rent out the building not Prokhas. No permission to Prokhas to rent out the building was ever given by me. When interested parties called Prokhas to find out the status of the building, your staff, Encik Khalid and Encik Solleh, clearly stated that the building belonged to Danaharta Hartanah Sdn Bhd (DHSB) as the title was registered in the name of DHSB and I had nothing to do with the building  and that the building was not for sale. I have many witnesses to this effect.

The latest interested buyer, three weeks ago, was told that the building is not worth more than 200 million. He was advised to see Jones Lang Wootten about the value. Jones Lang Wootten told him that the building was worth not more than 220 million but refused to put it in writing.

There is no point in my asking the Ministry of Finance for another extension of time on the Agreement as you will keep on sabotaging all my efforts. There has never been any goodwill or sincerity on your part. You pretended to follow the Finance Minister’s instructions but you indirectly sabotaged the instructions. This is a clear cut case of insubordination and undermining the Minister’s instructions.

To end this confrontation and as an amicable settlement, as you are so keen to keep the building, I suggest you purchase it from me at the market value of R360 million . After deducting the redemption sum of RM200 million, I would be agreeable to accept the difference sum of RM160 million from you. This is the only way out of this impasse. I suggest you accept it without further delay.

I am always open for discussions towards settlement but if I do not hear from you within two weeks from date hereof I will presume you are no longer interested to settle the matter amicably and I will instruct my solicitors to proceed with legal action against you and all the Board Members of Danaharta Hartanah and Prokhas and all the parties who have been instrumental in sabotaging the sale of the building.
